النطاق: جميع النزاعات والخلافات والمطالبات والاعتراضات التي قد تنشأ بين أطراف المعاملة فيما يتعلق بالخدمة أو المشروع أو المنتج الرقمي أو عرض السعر أو العقد أو المرحلة أو التسليم أو القبول والرفض أو التعديل التعاقدي أو الإلغاء أو الانسحاب أو الإنهاء أو الاستحقاق المالي أو الملكية الفكرية أو أي حق أو التزام مرتبط بالمعاملة داخل منظومة بال لانسر.
أولًا: التعريف
لأغراض منظومة بال لانسر، يُقصد بـ «النزاع» وجود خلاف فعلي بين طرفين أو أكثر من أطراف المعاملة بشأن حق أو التزام أو واقعة أو تفسير أو تنفيذ أو إخلال أو مطالبة أو أثر تعاقدي مرتبط بمعاملة قائمة أو سابقة داخل المنظومة.
وقد يتعلق النزاع، بحسب الحالة، بـ:
- نطاق الخدمة أو المشروع.
- جودة التنفيذ.
- المخرجات المتفق عليها.
- المرحلة أو مراحل المشروع.
- التسليم.
- القبول أو الرفض.
- طلب التصحيح أو إعادة التنفيذ.
- التأخير في التنفيذ أو التسليم.
- التعديل التعاقدي.
- الإلغاء.
- الانسحاب.
- الإنهاء.
- الاستحقاق المالي.
- الملكية الفكرية وحقوق الاستخدام.
- الملفات أو الشفرة المصدرية أو المكونات الرقمية.
- السرية أو حماية البيانات.
- تفسير العقد أو أحد شروطه.
- أي حق أو التزام آخر ناشئ عن المعاملة.
ولا يشترط لوجود النزاع أن يكون أحد الأطراف محقًا؛ فوجود النزاع يصف حالة الخلاف، أما تحديد الحقوق والالتزامات أو المسؤولية أو النتيجة النهائية فيخضع للعقد والأدلة والقواعد المطبقة وآلية معالجة النزاع.
ثانيًا: متى ينشأ النزاع
قد ينشأ النزاع عندما يقدم أحد أطراف المعاملة مطالبة أو اعتراضًا محددًا، ويعارض الطرف الآخر تلك المطالبة أو يرفضها أو يقدم موقفًا جوهريًا مختلفًا عنها.
وقد ينشأ النزاع كذلك عندما توجد واقعة قابلة للإثبات يختلف الأطراف بشأنها، مثل:
- ما إذا كان التسليم قد تم.
- ما إذا كان التسليم مطابقًا.
- ما إذا كان التأخير مبررًا.
- ما إذا كان الطلب داخل نطاق العقد.
- ما إذا كان التعديل قد تمت الموافقة عليه.
- ما إذا كان قد نشأ استحقاق مالي.
- ما إذا كان لأحد الأطراف حق في الإلغاء أو الانسحاب أو الإنهاء.
- ما إذا كانت حقوق الملكية الفكرية قد انتقلت أو بقيت مقيدة.
- ما إذا كان الإجراء المتخذ يمثل إخلالًا أو ممارسة لحق مقرر.
ولا يكفي مجرد وجود استفسار أو طلب دعم أو شكوى عامة غير محددة لاعتبار الحالة نزاعًا تعاقديًا، ما لم تتضمن خلافًا فعليًا بشأن حق أو التزام أو واقعة مؤثرة.
ثالثًا: الفرق بين الشكوى والنزاع
يجب التمييز بين:
الشكوى: تعبير المستخدم عن عدم الرضا أو الإبلاغ عن مشكلة أو طلب معالجة مسألة.
النزاع: خلاف فعلي بين الأطراف بشأن حق أو التزام أو واقعة أو مطالبة أو أثر تعاقدي.
وقد تبدأ المسألة بشكوى ثم تتحول إلى نزاع إذا ظهر خلاف فعلي بين الأطراف.
ولا يؤدي تسجيل شكوى تلقائيًا إلى إنشاء نزاع تعاقدي.
رابعًا: الفرق بين الاعتراض والنزاع
الاعتراض هو موقف يصدر من طرف تجاه واقعة أو قرار أو تسليم أو مطالبة أو إجراء.
أما النزاع فينشأ عندما يصبح هذا الاعتراض جزءًا من خلاف فعلي بين الأطراف يحتاج إلى معالجة أو تسوية أو حسم وفق الآلية المطبقة.
وعليه:
اعتراض منفرد ← لا يعني بالضرورة وجود نزاع.
اعتراض يقابله موقف مخالف جوهري ← قد ينشئ نزاعًا.
خامسًا: أطراف النزاع
قد يكون النزاع بين:
- المشتري أو طالب الخدمة ومقدم الخدمة أو البائع.
- أكثر من مقدم خدمة إذا كانت العلاقة التعاقدية تسمح بذلك.
- أكثر من مشترٍ أو جهة مشاركة في المعاملة بحسب الهيكل التعاقدي.
- ممثلين مخولين عن الأطراف.
- أي أطراف أخرى أصبحت أطرافًا صحيحة في العلاقة التعاقدية وفق العقد والقواعد المطبقة.
ولا تصبح بال لانسر طرفًا في النزاع التعاقدي بين المستخدمين لمجرد أنها توفر البنية التقنية أو أدوات إدارة النزاعات أو إجراءات فض النزاعات.
ولا يمنع ذلك وجود مطالبة مستقلة تجاه بال لانسر إذا تعلقت مباشرة بالتزاماتها الخاصة وفق شروطها أو القانون واجب التطبيق.
سادسًا: موضوع النزاع
يجب تحديد موضوع النزاع بدقة.
ويجوز أن يشمل النزاع مطالبة واحدة أو عدة مطالبات مترابطة.
ويجب، قدر الإمكان، فصل كل مطالبة عن الأخرى من حيث:
الواقعة ← الأساس التعاقدي ← الطلب ← الأدلة ← الطرف المقابل ← النتيجة المطلوبة.
ولا ينبغي جمع مسائل غير مترابطة في نزاع واحد بطريقة تمنع فهم كل مطالبة بصورة مستقلة.
سابعًا: النزاع حول نطاق العمل
قد ينشأ نزاع حول نطاق العمل عندما يختلف الطرفان بشأن ما إذا كان عمل أو مخرج أو طلب معين:
- داخل نطاق الخدمة أو المشروع المتفق عليه.
- خارج نطاق العمل.
- مشمولًا بالسعر الأصلي.
- يحتاج إلى تعديل تعاقدي.
- يمثل تصحيحًا لعمل غير مطابق.
- يمثل عملًا إضافيًا جديدًا.
ويجب الرجوع إلى العقد والمراحل والمخرجات ومعايير القبول والتعديلات التعاقدية المعتمدة لتحديد النطاق الصحيح.
ثامنًا: النزاع حول التسليم
قد ينشأ نزاع حول التسليم بشأن:
- وقوع التسليم من عدمه.
- تاريخ ووقت التسليم.
- اكتمال المخرجات.
- الملفات المرفقة.
- الإصدار الذي تم تسليمه.
- صلاحية الوصول إلى المخرجات.
- مطابقة التسليم للمرحلة المعنية.
- ما إذا كان التسليم جزئيًا أو نهائيًا.
ولا يعتبر تسجيل النزاع بحد ذاته قبولًا أو رفضًا للتسليم.
تاسعًا: النزاع حول القبول والرفض
قد ينشأ النزاع بشأن:
- صحة القبول.
- صحة الرفض.
- أسباب الرفض.
- مدى مطابقة المخرج للعقد.
- ما إذا كان المطلوب تصحيحًا داخل النطاق أو عملًا إضافيًا.
- تطبيق معايير القبول.
- انتهاء مهلة المراجعة وأثرها التعاقدي المتفق عليه.
- ما إذا كان القبول أو الرفض قد صدر من شخص مخول.
ولا يجوز اعتبار فتح النزاع بذاته قبولًا للمخرج أو رفضًا له أو تعديلًا للعقد.
عاشرًا: النزاع حول التأخير
قد يتعلق النزاع بتحديد:
- الطرف المسؤول عن التأخير.
- سبب التأخير.
- مدة التأخير.
- وجود تمديد معتمد.
- تأخر المدخلات أو الموافقات.
- وجود قوة قاهرة أو مانع قانوني أو تشغيلي.
- أثر التأخير على المراحل اللاحقة.
- الآثار التعاقدية المترتبة على التأخير.
ولا يفترض النظام المسؤولية عن التأخير بمجرد تسجيل التاريخ أو تجاوز الموعد.
الحادي عشر: النزاع حول التعديل التعاقدي
قد ينشأ النزاع بشأن:
- وجود تعديل تعاقدي من عدمه.
- صحة الموافقة عليه.
- نطاق التعديل.
- السعر المعدل.
- المدة المعدلة.
- المخرجات المعدلة.
- أثر التعديل على المراحل.
- ما إذا كان الطلب الجديد تعديلًا أم تصحيحًا للالتزام الأصلي.
- ما إذا كان التغيير مجرد تحديث تشغيلي أم تعديلًا تعاقديًا.
ولا يعتد بتغيير جوهري باعتباره تعديلًا تعاقديًا ملزمًا لمجرد وروده في رسالة أو اقتراح أو مسودة، ما لم يستوف متطلبات التعديل التعاقدي المطبقة.
الثاني عشر: النزاع حول الإلغاء أو الانسحاب أو الإنهاء
قد ينشأ النزاع بشأن التكييف الصحيح للفعل وآثاره.
ويجب الفصل بين:
إلغاء طلب أو مرحلة أو جزء من المعاملة ← الإلغاء.
خروج طرف من المسار أو العلاقة وفق الآلية المطبقة ← الانسحاب.
وضع حد للعقد النافذ كله ← الإنهاء.
ويحدد أثر كل منها وفق تعريفه المختص والعقد والقواعد المطبقة.
ولا يحسم التكييف القانوني بمجرد اسم الزر أو الطلب أو الحالة المستخدمة داخل النظام.
الثالث عشر: النزاع حول الاستحقاق المالي
قد ينشأ النزاع بشأن وجود أو مقدار أو توقيت الاستحقاق المالي.
ويجب الفصل بين:
النزاع حول الحق التعاقدي في المبلغ
وبين:
تنفيذ العملية أو التسوية المالية لدى الجهة المالية المرخصة.
ولا يعني تسجيل مطالبة مالية داخل بال لانسر أن المنصة قد نفذت تحويلًا أو حفظت أموالًا أو قامت بتسوية مالية منظمة.
وتبقى الوظائف المالية المنظمة ضمن نطاق البنك أو مقدم خدمات الدفع أو الجهة المالية المرخصة المختصة وفق نموذج التكامل والقواعد المطبقة.
الرابع عشر: النزاع حول الملكية الفكرية والشفرة المصدرية
قد يتعلق النزاع بـ:
- ملكية المخرجات.
- انتقال حقوق الملكية الفكرية.
- تراخيص الاستخدام.
- الشفرة المصدرية.
- التصميمات والملفات.
- المحتوى الرقمي.
- المكونات السابقة على العقد.
- مكونات الطرف الثالث.
- شروط انتقال الحقوق.
- حقوق الاستخدام والتعديل والتوزيع وإعادة البيع وإعادة الترخيص.
- الاستخدام غير المصرح به.
ولا يؤدي فتح النزاع وحده إلى نقل حقوق الملكية الفكرية أو إلغائها أو تعليقها إلا وفق أساس تعاقدي أو قانوني صحيح.
وأثناء قيام النزاع، لا يترتب على مجرد حيازته أو تسجيله منح أي طرف حقًا جديدًا في استخدام المخرجات أو الشفرة المصدرية أو التصاميم أو الملفات أو استغلالها أو نقلها أو ترخيصها.
وتظل حقوق الاستخدام والملكية والانتقال والتسليم خاضعة للعقد والتراخيص وشروط الاستحقاق المطبقة والقانون واجب التطبيق إلى حين تسوية النزاع أو حسمه وفق الآلية المختصة.
الخامس عشر: فتح النزاع
يجب أن يكون فتح النزاع محددًا وقابلًا للتوثيق.
ويشمل، بحسب الحالة:
- معرف المعاملة.
- معرف العقد.
- معرف المرحلة أو التسليم ذي الصلة.
- الطرف الذي فتح النزاع.
- الطرف أو الأطراف المقابلة.
- موضوع النزاع.
- المطالبة.
- الوقائع الأساسية.
- النتيجة المطلوبة.
- المستندات أو الأدلة الأولية.
- تاريخ ووقت فتح النزاع.
- أي مبلغ محل نزاع، إن وجد.
ولا يعني فتح النزاع ثبوت المطالبة أو المسؤولية.
السادس عشر: الرد على النزاع
يجب تمكين الطرف المقابل، بحسب القواعد المطبقة، من الاطلاع على المطالبة والرد عليها وتقديم الأدلة والمستندات ذات الصلة.
ويجب أن يكون الرد مرتبطًا قدر الإمكان بالمطالبات المحددة في النزاع.
ويجوز للطرف:
الإقرار ← الاعتراض ← القبول الجزئي ← تقديم مطالبة مقابلة حيث تسمح القواعد ← اقتراح تسوية.
السابع عشر: الأدلة في النزاع
قد تشمل الأدلة ذات الصلة:
- العقد.
- عرض السعر.
- مسودة العقد عند الحاجة لإثبات السياق.
- التعديلات التعاقدية.
- المراحل.
- سجلات التسليم.
- القبول والرفض.
- الرسائل والمراسلات.
- الملفات والمرفقات.
- سجلات النظام.
- التوقيتات والأحداث الموثقة.
- سجلات الموافقات.
- المستندات المالية ذات الصلة.
- الأدلة الفنية.
- سجلات الوصول أو النشاط متى كان استخدامها مشروعًا.
- أي مستند أو سجل مشروع آخر ذي صلة.
وتخضع حجية السجلات الرقمية وقيمة الأدلة وتفسيرها للقانون والقواعد المطبقة وطبيعة النزاع.
الثامن عشر: سلامة الأدلة والسجل الزمني
يجب الحفاظ، قدر الإمكان، على سلامة الأدلة والسجلات المرتبطة بالنزاع بما يسمح بتحديد:
- من قام بالفعل.
- متى وقع الفعل.
- ما النسخة المستخدمة.
- ما الذي تم تغييره.
- ما الذي تم تسليمه.
- ما حالة العقد أو المرحلة وقت الواقعة.
- ما الموافقات أو القرارات التي صدرت.
- ما الأحداث التي سبقت الواقعة أو لحقتها.
ولا يجوز تعديل السجل التاريخي أو إخفاؤه أو استبداله بطريقة تؤدي إلى طمس واقعة جوهرية مرتبطة بالنزاع.
التاسع عشر: النزاع وحالة العقد
فتح النزاع لا يؤدي تلقائيًا إلى:
- إلغاء العقد.
- إنهاء العقد.
- تعليق العقد كاملًا.
- إلغاء مرحلة.
- قبول التسليم.
- رفض التسليم.
- إنشاء استحقاق مالي.
- إسقاط استحقاق مالي.
- نقل حقوق الملكية الفكرية.
- تعديل العقد.
- تقرير مسؤولية أحد الأطراف.
ويجب أن يكون لكل أثر من هذه الآثار أساس مستقل وفق العقد أو القواعد المطبقة أو التسوية أو القرار المختص.
العشرون: النزاع وتعليق التنفيذ والمدد
قد تستلزم طبيعة بعض النزاعات تعليق إجراء أو مرحلة أو جزء من التنفيذ مؤقتًا إذا كان العقد أو القواعد المطبقة أو أساس قانوني صحيح يسمح بذلك.
ويجب تحديد:
- نطاق التعليق.
- سببه.
- تاريخ بدايته.
- الطرف أو الجهة المخولة بإقراره.
- أثره على المدة.
- أثره على مواعيد التنفيذ أو التسليم أو المراجعة.
- أثره على المراحل الأخرى.
- شروط استئناف التنفيذ.
- تاريخ انتهاء التعليق أو الواقعة التي تنهيه.
ولا يترتب على مجرد فتح النزاع وقف المدد أو المهل التعاقدية تلقائيًا.
وإذا تقرر تعليق مرحلة أو إجراء وفق العقد أو القواعد المطبقة أو أساس قانوني صحيح، فيجب تحديد أثر التعليق صراحة على مواعيد التنفيذ والتسليم والمراجعة والقبول وأي مدد مرتبطة بالجزء المتأثر.
ولا يمتد أثر التعليق إلى المراحل أو الالتزامات غير المتأثرة إلا إذا وجد أساس تعاقدي أو قانوني أو قرار صحيح يقتضي ذلك.
ولا يجوز افتراض تعليق العقد كاملًا لمجرد فتح نزاع حول جزء منه.
الحادي والعشرون: النزاع والتسوية
يجوز للأطراف محاولة الوصول إلى تسوية للنزاع من خلال إجراءات فض النزاعات أو آلية التسوية المطبقة.
وقد تكون التسوية:
- كاملة.
- جزئية.
- متعلقة بمطالبة محددة.
- متعلقة بعدة مطالبات.
- متضمنة تعديلًا تعاقديًا إذا استمر العقد.
- متضمنة آثارًا على الاستحقاقات وفق اتفاق صحيح.
- متضمنة التزامات أو إجراءات مستقبلية بين الأطراف.
ويجب عدم الخلط بين:
تسوية النزاع
وبين:
التسوية المالية المنظمة التي تنفذها الجهة المالية المرخصة.
ويخضع مفهوم التسوية تفصيلًا إلى 22 — تعريف التسوية.
الثاني والعشرون: النزاع ومركز النزاعات
يجوز إدارة النزاع من خلال مركز النزاعات داخل المنظومة وفق الصلاحيات والإجراءات المحددة له.
ويجب ألا يُفهم وجود مركز النزاعات على أنه محكمة أو جهة قضائية أو هيئة تحكيم أو جهة مالية أو سلطة تنظيمية. ولا يملك مركز النزاعات، لمجرد إنشائه أو تشغيله داخل منظومة بال لانسر، سلطة قضائية أو تحكيمية أو تنظيمية أو مالية مستقلة، ولا ينشئ بذاته صلاحية للفصل الملزم في النزاعات. ولا يحول ذلك دون ممارسة أي صلاحية إجرائية أو تشغيلية أو تعاقدية تكون مقررة بصورة صحيحة بموجب العقد أو القواعد المطبقة أو اتفاق صحيح بين الأطراف أو القانون واجب التطبيق، وفي الحدود التي يسمح بها ذلك الأساس. ولا تكون أي نتيجة ملزمة لمجرد تسجيلها أو إصدارها تقنيًا داخل مركز النزاعات؛ فإذا ترتب على النزاع أثر ملزم، فيجب أن يستند، بحسب الحالة، إلى موافقة الأطراف أو تسوية نافذة، أو إلى صلاحية تعاقدية صحيحة مقررة مسبقًا ومسموح بها قانونًا، أو إلى حكم أو قرار أو نتيجة صادرة عن محكمة أو هيئة تحكيم أو جهة تنظيمية أو جهة أخرى مختصة وفق القانون واجب التطبيق. ويقتصر دور مركز النزاعات، بحسب طبيعة النتيجة ومصدرها، على الإدارة والتوثيق والإحالة وتسجيل الآثار وتحديث الحالات وتطبيق الآثار التشغيلية التي تدخل ضمن صلاحيات المنظومة، دون أن يؤدي ذلك بذاته إلى اكتساب بال لانسر أو مركز النزاعات صفة قضائية أو تحكيمية أو تنظيمية أو مالية.
وتحدد صلاحيات مركز النزاعات وإجراءاته تفصيلًا في:

الثالث والعشرون: النزاع والذكاء الاصطناعي
يجوز للذكاء الاصطناعي المساعدة في:
- تصنيف موضوع النزاع.
- تنظيم الوقائع.
- ترتيب الأدلة.
- كشف المستندات الناقصة.
- تلخيص مواقف الأطراف.
- تحديد البنود المحتمل ارتباطها بالنزاع.
- كشف التعارضات الظاهرة في المعلومات.
- اقتراح مسارات إجرائية غير ملزمة.
- المساعدة في إعداد ملخص النزاع.
- المساعدة في مقارنة المطالبات والردود.
- المساعدة في تنظيم التسلسل الزمني للأحداث.
ولا يجوز للذكاء الاصطناعي، بذاته:
إثبات المسؤولية ← إصدار حكم ملزم ← تحديد تعويض ملزم ← نقل حق ← إسقاط حق ← إنهاء عقد ← تنفيذ حركة مالية ← فرض تسوية ← تقرير نتيجة نزاع ملزمة.
الرابع والعشرون: النزاع والإجراءات المالية
وجود نزاع بشأن مبلغ مالي لا يحول بال لانسر إلى جهة تحفظ أو تدير أو تحول الأموال محل النزاع.
ويجب الفصل بين:
حالة النزاع التعاقدية داخل المنظومة
وبين:
حالة العملية المالية لدى الجهة المالية المرخصة.
وأي حفظ أو حجز أو تحرير أو رد أو تحويل أو تسوية مالية منظمة يخضع للترتيب المعتمد مع البنك أو مقدم خدمات الدفع أو الجهة المالية المرخصة والقانون واجب التطبيق.
ولا يترتب على أي حالة أو إجراء أو قرار تشغيلي داخل بال لانسر، بذاته، تنفيذ حركة مالية أو إنشاء أمر مالي مستقل. ويقتصر دور المنظومة على توثيق الأثر التعاقدي والتشغيلي وتبادل البيانات أو الطلبات التقنية المسموح بها ضمن نموذج التكامل المعتمد، على أن تتولى الجهة المالية المرخصة وحدها تنفيذ أي إجراء مالي خاضع للترخيص وفق صلاحياتها والقانون واجب التطبيق.
الخامس والعشرون: النزاع المتعدد
قد يتضمن النزاع أكثر من مطالبة.
ويجب، حيثما كان ذلك عمليًا، تحديد حالة مستقلة لكل مطالبة، مثل:
مفتوحة ← محل رد ← محل مراجعة ← تمت تسويتها ← حُسمت وفق الآلية المختصة ← أُغلقت.
ويجوز إغلاق مطالبة مع استمرار مطالبات أخرى داخل النزاع نفسه.
ولا يؤدي حسم مطالبة واحدة تلقائيًا إلى حسم جميع المطالبات المرتبطة بالنزاع.
السادس والعشرون: المطالبة المقابلة
حيث تسمح القواعد المطبقة، يجوز للطرف المقابل تقديم مطالبة مقابلة مرتبطة بالنزاع الأصلي.
ويجب تسجيل المطالبة المقابلة بصورة مستقلة مع بيان:
- مقدم المطالبة.
- الأساس الذي تستند إليه.
- الوقائع المرتبطة بها.
- الأدلة.
- النتيجة المطلوبة.
- علاقتها بالنزاع الأصلي.
ولا يجوز دمج المطالبات المتقابلة بطريقة تمنع التمييز بين حقوق والتزامات كل طرف.
السابع والعشرون: حظر التعسف في استعمال إجراءات النزاع
يجب ممارسة الحقوق والإجراءات المرتبطة بالنزاع بحسن نية، ويحظر التعسف في استعمال الحق أو استخدام نظام النزاعات بقصد:
- تعطيل التنفيذ دون أساس مشروع.
- الضغط غير المشروع على الطرف الآخر.
- تجنب التزام ثابت.
- الحصول على عمل إضافي دون مقابل.
- حجب حقوق مستحقة دون أساس.
- تقديم ادعاءات يعلم مقدمها أنها غير صحيحة.
- إغراق الطرف الآخر بمطالبات مكررة بقصد الإضرار.
- استخدام النزاع للتحايل على التعديل التعاقدي أو الإلغاء أو الانسحاب أو الإنهاء.
- استخدام النزاع بقصد التأثير غير المشروع على الاستحقاقات أو المراحل الأخرى.
ولا يمنع ذلك أي طرف من تقديم نزاع حقيقي أو مطالبة قابلة للنظر بحسن نية.
الثامن والعشرون: إغلاق النزاع
يمكن إغلاق النزاع وفق الآلية المطبقة نتيجة:
- تسوية كاملة.
- سحب المطالبة حيث يسمح بذلك.
- قبول المطالبة.
- انتهاء جميع المطالبات محل النزاع.
- صدور نتيجة صحيحة عن جهة أو مسار مختص وفق أساس قانوني أو تعاقدي صحيح.
- عدم استمرار النزاع وفق القواعد المطبقة.
- أي سبب صحيح آخر تقرره القواعد المطبقة.
ويجوز إغلاق المسار الداخلي للنزاع إداريًا بعد إحالته إلى مسار خارجي، على ألا يُفهم ذلك باعتباره انتهاءً موضوعيًا للنزاع أو حسمًا له، وتبقى حالة الإحالة والمسار الخارجي موثقة وفق القواعد المطبقة.
ولا يعني إغلاق النزاع حذف سجله.
وإذا كانت التسوية كاملة ولكنها مشروطة، فلا يترتب الإغلاق الموضوعي النهائي للمطالبات المشمولة إلا وفق الأثر المحدد في اتفاق التسوية وبعد تحقق الشرط اللازم لنفاذ ذلك الأثر.
كما لا يؤدي إغلاق النزاع تلقائيًا إلى محو الحقوق أو الالتزامات أو الآثار التي نشأت قبل الإغلاق.
التاسع والعشرون: توثيق النزاع
يجب أن تدعم المنظومة، بحسب طبيعة الحالة، تسجيل:
- معرف النزاع.
- معرف المعاملة.
- معرف العقد.
- المرحلة ذات الصلة.
- التسليم ذي الصلة.
- الأطراف.
- المطالبات.
- المطالبات المقابلة.
- الردود.
- الأدلة.
- المبالغ محل النزاع.
- التواريخ والأوقات.
- حالة كل مطالبة.
- التسويات المرتبطة.
- التعديلات التعاقدية المرتبطة.
- الإلغاء أو الانسحاب أو الإنهاء المرتبط.
- أي تعليق مرتبط بالتنفيذ.
- النتيجة النهائية.
- تاريخ الإغلاق.
ويجب الاحتفاظ بسجل زمني واضح وقابل للتتبع لجميع الأحداث الجوهرية المرتبطة بالنزاع.
الثلاثون: عدم حذف النزاع والسجلات المرتبطة
لا يؤدي إغلاق النزاع أو تسويته إلى حذف السجل التاريخي للمعاملة أو العقد أو المرحلة أو التسليم أو الأدلة أو المراسلات أو القرارات أو التسويات ذات الصلة.
ويجب مراعاة متطلبات حماية البيانات والاحتفاظ بالسجلات والقانون واجب التطبيق.
وعندما يكون حذف بعض البيانات واجبًا قانونًا، يجب المحافظة، بالقدر المسموح به، على الحد الأدنى من سجل التدقيق اللازم لإثبات وقوع الحدث وتاريخه وطبيعته دون الاحتفاظ بما يحظر القانون الاحتفاظ به.

يُقرأ تعريف «النزاع» بالاقتران مع تعريفات:
المعاملة، أطراف المعاملة، مقدم الخدمة أو البائع، المشتري أو طالب الخدمة، الخدمة، المشروع، المنتج الرقمي، النشاط الاقتصادي، عرض السعر، مسودة العقد، العقد، الموافقة الصريحة، التوقيع الإلكتروني، المرحلة، التسليم، القبول والرفض، التعديل التعاقدي، الإلغاء، الانسحاب، الإنهاء، التسوية، مركز النزاعات، الاستحقاق المالي، العملية المالية، مقدم خدمات الدفع، والجهة المالية المرخصة.
وعند تحديد أثر النزاع يجب النظر إلى طبيعته وموضوعه ومرحلته وآثاره الفعلية، ولا يجوز أن يؤدي مجرد وصف الحالة بأنها «نزاع» إلى إنشاء أثر تعاقدي أو مالي أو قانوني لم يقرره العقد أو القواعد أو القانون واجب التطبيق.

Classification: Definitions and Standards — Disputes and Settlement
Scope: All disputes, disagreements, claims, and objections that may arise between Transaction Parties in relation to a Service, Project, Digital Product, Quotation, Contract, Milestone, Delivery, Acceptance and Rejection, Contractual Amendment, Cancellation, Withdrawal, Termination, Financial Entitlement, Intellectual Property, or any right or obligation associated with a Transaction within the Pallancer ecosystem.
First: Definition
For the purposes of the Pallancer ecosystem, “Dispute” means an actual disagreement between two or more Transaction Parties concerning a right, obligation, fact, interpretation, performance, breach, claim, or contractual effect associated with a current or previous Transaction within the ecosystem.
A Dispute may relate, depending on the circumstances, to:
- Scope of the Service or Project.
- Quality of performance.
- Agreed Deliverables.
- A Milestone or Project Milestones.
- Delivery.
- Acceptance or Rejection.
- A Correction or re-performance request.
- Delay in performance or Delivery.
- Contractual Amendment.
- Cancellation.
- Withdrawal.
- Termination.
- Financial Entitlement.
- Intellectual Property and rights of use.
- Files, Source Code, or digital components.
- Confidentiality or data protection.
- Interpretation of the Contract or any of its terms.
- Any other right or obligation arising from the Transaction.
The existence of a Dispute does not require either Party to be correct. A Dispute describes the state of disagreement, whereas determination of rights, obligations, liability, or the final outcome shall be subject to the Contract, evidence, applicable rules, and the relevant Dispute resolution mechanism.
Second: When a Dispute Arises
A Dispute may arise when a Transaction Party submits a specific claim or objection and the other Party contests or rejects that claim or presents a materially different position.
A Dispute may also arise where the Parties disagree regarding a fact capable of being evidenced, including:
- Whether Delivery occurred.
- Whether the Delivery conforms to the Contract.
- Whether a delay is justified.
- Whether a request falls within the Contract Scope.
- Whether a Contractual Amendment was approved.
- Whether a Financial Entitlement has arisen.
- Whether a Party has the right to Cancel, Withdraw, or Terminate.
- Whether Intellectual Property rights have transferred or remain restricted.
- Whether an action constitutes a breach or the exercise of an established right.
A mere inquiry, support request, or general and unspecified complaint shall not by itself constitute a contractual Dispute unless it involves an actual disagreement concerning a material right, obligation, or fact.
Third: Distinction Between a Complaint and a Dispute
A distinction shall be maintained between:
Complaint: An expression of dissatisfaction, reporting of a problem, or request for resolution of an issue by a user.
Dispute: An actual disagreement between Parties concerning a right, obligation, fact, claim, or contractual effect.
A matter may begin as a Complaint and later become a Dispute where an actual disagreement arises between the Parties.
Recording a Complaint shall not automatically create a contractual Dispute.
Fourth: Distinction Between an Objection and a Dispute
An Objection is a position expressed by a Party regarding a fact, decision, Delivery, claim, or procedure.
A Dispute arises where that Objection becomes part of an actual disagreement between the Parties requiring resolution, Settlement, or determination under the applicable mechanism.
Accordingly:
Standalone Objection → Does not necessarily constitute a Dispute.
Objection met by a materially opposing position → May give rise to a Dispute.
Fifth: Parties to a Dispute
A Dispute may arise between:
- The Buyer or Service Requester and the Service Provider or Seller.
- More than one Service Provider where the contractual relationship permits.
- More than one Buyer or participating entity, depending on the contractual structure.
- Authorized representatives of the Parties.
- Any other persons or entities that have validly become Parties to the contractual relationship under the Contract and applicable rules.
Pallancer shall not become a Party to a contractual Dispute between users merely because it provides the technical infrastructure, Dispute management tools, or Dispute resolution procedures.
This shall not prevent a separate claim against Pallancer where such claim relates directly to Pallancer’s own obligations under its applicable terms or Applicable Law.
Sixth: Subject Matter of the Dispute
The subject matter of a Dispute must be clearly identified.
A Dispute may include one claim or multiple related claims.
To the extent reasonably possible, each claim should be separately identified by reference to:
Fact → Contractual Basis → Request → Evidence → Opposing Party → Requested Outcome.
Unrelated matters should not be combined into a single Dispute where doing so would prevent each claim from being independently understood.
Seventh: Dispute Concerning Scope of Work
A Scope of Work Dispute may arise where the Parties disagree as to whether a particular task, Deliverable, or request:
- Falls within the agreed Service or Project Scope.
- Falls outside the Scope of Work.
- Is included in the original price.
- Requires a Contractual Amendment.
- Constitutes correction of non-conforming work.
- Constitutes new additional work.
The Contract, Milestones, Deliverables, Acceptance Criteria, and approved Contractual Amendments shall be considered in determining the applicable Scope.
Eighth: Dispute Concerning Delivery
A Delivery Dispute may arise concerning:
- Whether Delivery occurred.
- Date and time of Delivery.
- Completeness of Deliverables.
- Attached files.
- Version delivered.
- Accessibility of the Deliverables.
- Conformity of the Delivery with the relevant Milestone.
- Whether the Delivery was Partial or Final.
Recording a Dispute shall not, by itself, constitute Acceptance or Rejection of a Delivery.
Ninth: Dispute Concerning Acceptance and Rejection
A Dispute may arise concerning:
- Validity of Acceptance.
- Validity of Rejection.
- Reasons for Rejection.
- Whether the Deliverable conforms to the Contract.
- Whether the requested action constitutes a Correction within Scope or additional work.
- Application of Acceptance Criteria.
- Expiry of the review period and its agreed contractual effect.
- Whether Acceptance or Rejection was issued by an authorized person.
Opening a Dispute shall not, by itself, constitute Acceptance or Rejection of a Deliverable or an Amendment to the Contract.
Tenth: Dispute Concerning Delay
A Dispute concerning delay may involve determination of:
- The Party responsible for the delay.
- Cause of the delay.
- Duration of the delay.
- Whether an approved extension exists.
- Delay in providing inputs or approvals.
- Existence of Force Majeure or a legal or operational impediment.
- Effect of delay on subsequent Milestones.
- Contractual consequences of the delay.
The system shall not presume liability for delay merely because a date has been recorded or a deadline exceeded.
Eleventh: Dispute Concerning a Contractual Amendment
A Dispute may arise concerning:
- Whether a Contractual Amendment exists.
- Validity of the consent given to it.
- Scope of the Amendment.
- Amended price.
- Amended duration.
- Amended Deliverables.
- Effect of the Amendment on Milestones.
- Whether a new request constitutes an Amendment or correction of the original obligation.
- Whether the change constitutes merely an Operational Update or a Contractual Amendment.
A material change shall not be treated as a binding Contractual Amendment merely because it appeared in a message, proposal, or draft unless the applicable requirements for Contractual Amendment have been satisfied.
Twelfth: Dispute Concerning Cancellation, Withdrawal, or Termination
A Dispute may arise concerning the correct classification of an action and its effects.
A distinction shall be maintained between:
Stopping a request, Milestone, or part of the Transaction → Cancellation.
Exit of a Party from a process or relationship through the applicable mechanism → Withdrawal.
Bringing the entire effective Contract to an end → Termination.
The effect of each shall be determined under its specific Definition, the Contract, and applicable rules.
The legal classification shall not be determined merely by the name of a button, request, or status used within the system.
Thirteenth: Dispute Concerning Financial Entitlement
A Dispute may arise concerning the existence, amount, or timing of a Financial Entitlement.
A distinction shall be maintained between:
The Dispute concerning the contractual right to an amount
and:
Execution of the Financial Transaction or Financial Settlement by the Licensed Financial Entity.
Recording a financial claim within Pallancer does not mean that the platform has executed a transfer, held funds, or performed a regulated Financial Settlement.
Regulated financial functions shall remain within the scope of the relevant bank, Payment Service Provider, or Licensed Financial Entity in accordance with the integration model and applicable rules.
Fourteenth: Dispute Concerning Intellectual Property and Source Code
A Dispute may relate to:
- Ownership of Deliverables.
- Transfer of Intellectual Property rights.
- Rights of use.
- Source Code.
- Designs and files.
- Digital content.
- Pre-existing components.
- Third-party components.
- Conditions governing transfer of rights.
- Rights of use, modification, distribution, resale, and relicensing.
- Unauthorized use.
Opening a Dispute shall not, by itself, transfer, cancel, or suspend Intellectual Property rights except pursuant to a valid contractual or legal basis.
While a Dispute remains pending, the mere possession or recording of the disputed material shall not grant either Party any new right to use, exploit, transfer, or license Deliverables, Source Code, designs, or files.
Rights of use, ownership, transfer, and Delivery shall remain subject to the Contract, applicable licenses, applicable entitlement conditions, and Applicable Law until the Dispute is settled or determined through the competent mechanism.
Fifteenth: Opening a Dispute
Opening a Dispute must be specific and capable of being documented.
Depending on the circumstances, the Dispute record may include:
- Transaction ID.
- Contract ID.
- Relevant Milestone or Delivery ID.
- Party opening the Dispute.
- Opposing Party or Parties.
- Subject of the Dispute.
- Claim.
- Material facts.
- Requested outcome.
- Initial documents or evidence.
- Date and time the Dispute was opened.
- Any disputed amount, where applicable.
Opening a Dispute shall not establish the validity of the claim or liability.
Sixteenth: Response to a Dispute
The opposing Party shall, subject to the applicable rules, be enabled to review the claim, respond to it, and provide relevant evidence and documentation.
The response should, to the extent reasonably possible, relate directly to the claims identified in the Dispute.
A Party may:
Admit → Object → Partially Accept → Submit a Counterclaim where permitted → Propose a Settlement.
Seventeenth: Evidence in a Dispute
Relevant evidence may include:
- The Contract.
- Quotation.
- Draft Contract, where necessary to establish context.
- Contractual Amendments.
- Milestones.
- Delivery records.
- Acceptance and Rejection records.
- Messages and communications.
- Files and attachments.
- System records.
- Documented timestamps and events.
- Consent records.
- Relevant financial documents.
- Technical evidence.
- Access or activity logs where their use is lawful.
- Any other lawful document or record relevant to the Dispute.
The evidentiary value of digital records and the weight and interpretation of evidence shall be subject to Applicable Law, applicable rules, and the nature of the Dispute.
Eighteenth: Integrity of Evidence and Chronological Records
To the extent reasonably possible, the integrity of evidence and records associated with a Dispute shall be preserved so that it is possible to determine:
- Who performed the action.
- When the action occurred.
- Which version was used.
- What was changed.
- What was delivered.
- The status of the Contract or Milestone at the time of the event.
- Which approvals or decisions were issued.
- Which events preceded or followed the relevant event.
Historical records shall not be altered, concealed, or replaced in a manner that obscures a material event associated with the Dispute.
Nineteenth: Dispute and Contract Status
Opening a Dispute shall not automatically result in:
- Cancellation of the Contract.
- Termination of the Contract.
- Suspension of the entire Contract.
- Cancellation of a Milestone.
- Acceptance of a Delivery.
- Rejection of a Delivery.
- Creation of a Financial Entitlement.
- Extinguishment of a Financial Entitlement.
- Transfer of Intellectual Property rights.
- Amendment of the Contract.
- Determination of liability against any Party.
Each such consequence must have an independent basis under the Contract, applicable rules, Settlement, or a competent decision.
Twentieth: Dispute, Suspension of Performance, and Time Periods
The nature of certain Disputes may require temporary suspension of a procedure, Milestone, or part of performance where permitted by the Contract, applicable rules, or another valid legal basis.
The following must be determined:
- Scope of the suspension.
- Reason for the suspension.
- Commencement date.
- Party or authority authorized to approve the suspension.
- Effect on duration.
- Effect on performance, Delivery, or review deadlines.
- Effect on other Milestones.
- Conditions for resuming performance.
- End date of the suspension or the event that ends it.
Merely opening a Dispute shall not automatically suspend contractual periods or deadlines.
Where a Milestone or procedure is suspended under the Contract, applicable rules, or another valid legal basis, the effect of that suspension on performance, Delivery, review, Acceptance, and any time periods associated with the affected part shall be expressly determined.
The effect of suspension shall not extend to unaffected Milestones or obligations unless a contractual or legal basis, or a valid decision, requires otherwise.
The entire Contract shall not be presumed suspended merely because a Dispute has been opened concerning one part of it.
Twenty-First: Dispute and Settlement
The Parties may attempt to reach a Settlement of the Dispute through applicable Dispute resolution procedures or the applicable Settlement mechanism.
A Settlement may be:
- Full.
- Partial.
- Related to a specific claim.
- Related to multiple claims.
- Combined with a Contractual Amendment where the Contract continues.
- Combined with effects on Financial Entitlements pursuant to a valid agreement.
- Combined with future obligations or procedures between the Parties.
A distinction must be maintained between:
Settlement of a Dispute
and:
Regulated Financial Settlement performed by the Licensed Financial Entity.
The concept of Settlement is governed in detail under 22 — Settlement Definition.
Twenty-Second: Dispute and the Dispute Center
A Dispute may be managed through the Dispute Center within the ecosystem in accordance with the powers and procedures assigned to it.
The Dispute Center shall not be understood to be a court, judicial authority, arbitral tribunal, financial institution, or regulatory authority. Merely being established or operated within the Pallancer ecosystem does not confer upon the Dispute Center any independent judicial, arbitral, regulatory, or financial authority, nor does it create authority to issue binding determinations in Disputes. This does not prevent the exercise of any procedural, operational, or contractual power validly established under the Contract, applicable rules, a valid agreement between the Parties, or Applicable Law, within the limits of that basis. No outcome becomes binding merely because it is recorded or technically issued within the Dispute Center. Any binding effect arising from a Dispute must, as applicable, derive from the Parties’ agreement or an effective Settlement, a valid pre-established contractual power permitted by law, or a judgment, decision, award, or outcome issued by a court, arbitral tribunal, regulatory authority, or other competent authority under Applicable Law. Depending on the nature and source of the outcome, the Dispute Center’s role is limited to administration, documentation, referral, recording effects, updating statuses, and applying operational effects that fall within the ecosystem’s powers, without thereby conferring upon Pallancer or the Dispute Center any judicial, arbitral, regulatory, or financial status.
The powers and procedures of the Dispute Center are set out in detail under:
23 — Dispute Center Definition.
Twenty-Third: Dispute and Artificial Intelligence
Artificial Intelligence may assist with:
- Classifying the subject of the Dispute.
- Organizing facts.
- Organizing evidence.
- Identifying missing documents.
- Summarizing the positions of the Parties.
- Identifying provisions potentially relevant to the Dispute.
- Detecting apparent inconsistencies in information.
- Suggesting non-binding procedural pathways.
- Assisting in preparing a Dispute summary.
- Assisting in comparing claims and responses.
- Assisting in organizing the chronology of events.
Artificial Intelligence shall not, by itself:
Establish Liability → Issue a Binding Decision → Determine Binding Compensation → Transfer a Right → Extinguish a Right → Terminate a Contract → Execute a Financial Transaction → Impose a Settlement → Determine a Binding Dispute Outcome.
Twenty-Fourth: Dispute and Financial Procedures
The existence of a Dispute concerning an amount of money shall not cause Pallancer to become an entity that holds, manages, or transfers the disputed funds.
A distinction shall be maintained between:
The contractual Dispute status within the ecosystem
and:
The status of the Financial Transaction with the Licensed Financial Entity.
Any holding, blocking, release, refund, transfer, or regulated Financial Settlement shall be subject to the approved arrangement with the bank, Payment Service Provider, or Licensed Financial Entity and Applicable Law.
No status, procedure, or operational decision within Pallancer shall, by itself, execute a Financial Transaction or constitute an independent financial order. The ecosystem is limited to documenting contractual and operational effects and exchanging permitted data or technical requests within the approved integration model, while any regulated financial action shall be executed solely by the Licensed Financial Entity within its lawful authority and in accordance with Applicable Law.
Twenty-Fifth: Multiple-Claim Dispute
A Dispute may contain more than one claim.
Where reasonably practicable, a separate status should be maintained for each claim, such as:
Open → Awaiting Response → Under Review → Settled → Determined Through the Competent Mechanism → Closed.
One claim may be closed while other claims within the same Dispute remain pending.
Determination of one claim shall not automatically determine all other claims associated with the Dispute.
Twenty-Sixth: Counterclaim
Where permitted by the applicable rules, the opposing Party may submit a Counterclaim associated with the original Dispute.
The Counterclaim shall be recorded separately, identifying:
- Party submitting the Counterclaim.
- Basis of the Counterclaim.
- Relevant facts.
- Evidence.
- Requested outcome.
- Relationship to the original Dispute.
Opposing claims shall not be merged in a manner that prevents the rights and obligations of each Party from being distinguished.
Twenty-Seventh: Prohibition of Abuse of Dispute Procedures
Rights and procedures associated with a Dispute shall be exercised in good faith, and abuse of rights or use of the Dispute system for the following purposes shall be prohibited:
- Unjustifiably obstructing performance.
- Applying improper pressure on the other Party.
- Avoiding an established obligation.
- Obtaining additional work without consideration.
- Withholding validly due rights without a proper basis.
- Submitting claims that the claimant knows to be false.
- Flooding the other Party with repetitive claims for the purpose of causing harm.
- Using a Dispute to circumvent Contractual Amendment, Cancellation, Withdrawal, or Termination procedures.
- Using a Dispute for the purpose of improperly affecting Financial Entitlements or unrelated Milestones.
This shall not prevent any Party from submitting a genuine Dispute or a good-faith claim capable of consideration.
Twenty-Eighth: Closing a Dispute
A Dispute may be closed under the applicable mechanism as a result of:
- Full Settlement.
- Withdrawal of the claim where permitted.
- Acceptance of the claim.
- Resolution of all claims forming part of the Dispute.
- Issuance of a valid outcome by a competent authority or pathway pursuant to a valid legal or contractual basis.
- Discontinuation of the Dispute in accordance with applicable rules.
- Any other valid ground established under the applicable rules.
The internal Dispute process may be administratively closed after referral to an external pathway, provided that such administrative closure shall not be construed as a substantive resolution or determination of the Dispute, and the referral status and external pathway shall remain documented in accordance with the applicable rules.
Closing a Dispute shall not mean deleting its record.
Where a Full Settlement is conditional, substantive final closure of the claims covered shall occur only in accordance with the effect specified in the Settlement Agreement and after fulfilment of the condition required for that effect to become operative.
Nor shall closing a Dispute automatically erase rights, obligations, or effects that arose before closure.
Twenty-Ninth: Documentation of a Dispute
The ecosystem shall, depending on the nature of the matter, support recording of:
- Dispute ID.
- Transaction ID.
- Contract ID.
- Related Milestone.
- Related Delivery.
- Parties.
- Claims.
- Counterclaims.
- Responses.
- Evidence.
- Disputed amounts.
- Dates and times.
- Status of each claim.
- Related Settlements.
- Related Contractual Amendments.
- Related Cancellation, Withdrawal, or Termination.
- Any related suspension of performance.
- Final outcome.
- Closure date.
A clear and traceable chronological record of all material events associated with the Dispute shall be maintained.
Thirtieth: No Deletion of the Dispute or Related Records
Closure or Settlement of a Dispute shall not result in deletion of the historical record of the Transaction, Contract, Milestone, Delivery, evidence, communications, decisions, or related Settlements.
Data protection, record-retention requirements, and Applicable Law shall be observed.
Where deletion of certain data is legally required, the minimum Audit Trail necessary to evidence the occurrence, date, and nature of the event shall, to the extent legally permitted, be retained without retaining information that the law prohibits from being retained.
Thirty-First: Relationship with Other Definitions
The definition of “Dispute” shall be read together with the definitions of:
Transaction, Transaction Parties, Service Provider or Seller, Buyer or Service Requester, Service, Project, Digital Product, Economic Activity, Quotation, Draft Contract, Contract, Explicit Consent, Electronic Signature, Milestone, Delivery, Acceptance and Rejection, Contractual Amendment, Cancellation, Withdrawal, Termination, Settlement, Dispute Center, Financial Entitlement, Financial Transaction, Payment Service Provider, and Licensed Financial Entity.
When determining the effect of a Dispute, its nature, subject matter, stage, and actual effects shall be considered. Merely describing a matter as a “Dispute” shall not create any contractual, financial, or legal consequence that has not been established by the Contract, applicable rules, or Applicable Law.
Where a specialized Definition or policy governs a particular type of Dispute or Dispute resolution procedure, the more specific provisions shall apply within their scope, provided that they do not conflict with the Governing Principles or mandatory provisions of Applicable Law.
