التصنيف: التعاريف والمعايير

النطاق: صفة مقدم الخدمة أو البائع في منظومة بال لانسر، والفئات المؤهلة لاكتساب هذه الصفة، وشروط التحقق والأهلية وممارستها، وعلاقتها بالمعاملات والعقود والتنفيذ والأطراف المساندة.

أولًا: التعريف

لأغراض منظومة بال لانسر (PalLancer)، يُقصد بـ «مقدم الخدمة أو البائع» الشخص الطبيعي الفلسطيني أو الشخص الاعتباري أو المؤسسة أو الجهة المؤهلة وفق المعايير المعتمدة في المنظومة، والتي تكتسب بصورة صحيحة صفة مقدم الخدمة أو البائع، وتعرض أو تقدم أو تلتزم بتقديم خدمة، أو تنفيذ مشروع، أو توفير منتج رقمي، وفق طبيعة المعاملة والعقد والقواعد والسياسات والمتطلبات واجبة التطبيق.

ويُعد مقدم الخدمة أو البائع، عند دخوله في عقد مع طالب الخدمة أو المشتري، الطرف المسؤول عن الالتزامات التي قبلها بموجب ذلك العقد، في حدود صفته وصلاحياته وطبيعة الالتزام.

ولا يؤدي استخدامه لمنظومة بال لانسر إلى اعتبار بال لانسر هي مقدم الخدمة أو البائع نيابة عنه.

ولا تُكتسب صفة مقدم الخدمة أو البائع بمجرد إنشاء حساب مستخدم؛ وإنما بعد استيفاء متطلبات الفئة التي ينتمي إليها مقدم الخدمة وتفعيل الصفة وفق إجراءات التحقق والأهلية المعتمدة.

ثانيًا: الطبيعة الفلسطينية لجانب العرض في بال لانسر

يقوم نموذج بال لانسر على أن جانب تقديم وبيع الخدمات والمشاريع والمنتجات الرقمية ذو هوية وارتباط فلسطيني مؤهل وفق المعايير المعتمدة في المنظومة.

ولا يُقصد بذلك قصر مقدم الخدمة على الأشخاص الطبيعيين المقيمين جغرافيًا داخل فلسطين؛ بل يجوز أن تشمل صفة مقدم الخدمة الفلسطينيين داخل فلسطين وخارجها، وكذلك الأشخاص الاعتباريين والمؤسسات والجهات الفلسطينية أو ذات الارتباط الفلسطيني المؤهل وفق هذا التعريف والمعايير المتخصصة.

ويُعد هذا الاختصاص جزءًا أصيلًا من نموذج بال لانسر وقيمته التشغيلية والاقتصادية، القائم على تمكين الخدمات والكفاءات والمؤسسات الفلسطينية المؤهلة من الوصول إلى المشترين وطالبي الخدمات في الأسواق المحلية والدولية.

ولا يجوز اكتساب هذه الصفة أو التحايل عليها من خلال استخدام حساب شخص آخر أو بيانات أو هياكل صورية أو تمثيل غير صحيح للملكية أو الإدارة أو الصفة الفلسطينية.

ثالثًا: الفئات المؤهلة لاكتساب صفة مقدم الخدمة أو البائع

يجوز، وفق متطلبات بال لانسر والقانون والسياسات المعتمدة، اكتساب صفة مقدم الخدمة أو البائع من قبل الفئات الآتية:

  1. الشخص الطبيعي الفلسطيني المقيم داخل فلسطين، متى استوفى متطلبات الهوية والأهلية والتحقق المقررة.
  2. الشخص الطبيعي الفلسطيني المقيم خارج فلسطين، بما في ذلك الفلسطيني في الشتات أو المقيم بصورة دائمة أو مؤقتة في دولة أخرى، متى أمكن إثبات الصفة الفلسطينية وفق معايير التحقق المعتمدة واستيفاء المتطلبات القانونية والتنظيمية المتعلقة بدولة إقامته وطبيعة النشاط.
  3. الشركات والمنشآت والأشخاص الاعتباريون الفلسطينيون المنشؤون أو المسجلون بصورة قانونية، متى كانت لديهم الأهلية والصلاحية لممارسة النشاط محل المعاملة.
  4. الجمعيات والمؤسسات الأهلية والخيرية الفلسطينية، متى كان النشاط أو الخدمة أو المنتج محل المعاملة جائزًا ومتوافقًا مع أغراضها ونظامها الأساسي وصلاحياتها والقانون المنطبق عليها.
  5. الجامعات والكليات والمؤسسات التعليمية والأكاديمية الفلسطينية، العامة أو الخاصة، متى كان تقديم الخدمة أو المشروع أو المنتج داخل نطاق صلاحياتها واختصاصاتها ومتوافقًا مع المتطلبات القانونية والتنظيمية واجبة التطبيق.
  6. الجهات والمؤسسات العامة أو الحكومية أو شبه الحكومية الفلسطينية، متى كان القانون واختصاص الجهة وصلاحياتها يسمحان لها باستخدام المنظومة وتقديم النشاط محل المعاملة، وبعد استيفاء أي موافقات أو إجراءات أو متطلبات خاصة لازمة لذلك.
  7. الشركات أو المنشآت المنشأة خارج فلسطين ذات الارتباط الفلسطيني المؤهل، متى استوفت المعيار الذي تعتمده بال لانسر لإثبات هذا الارتباط، وكانت قائمة بصورة قانونية في دولة تأسيسها ومسموحًا لها بممارسة النشاط محل المعاملة.
  8. أي فئة فلسطينية مؤسسية أخرى تعتمدها المنظومة مستقبلًا، شريطة تحديد أساس أهليتها ومعيار ارتباطها الفلسطيني ومتطلبات التحقق الخاصة بها قبل السماح لها باكتساب صفة مقدم الخدمة أو البائع.

ولا يؤدي إدراج فئة ضمن هذه المادة إلى منح كل شخص أو كيان داخلها حقًا تلقائيًا في اكتساب صفة مقدم الخدمة؛ إذ يظل اكتساب الصفة خاضعًا للتحقق والأهلية والامتثال وطبيعة النشاط والمتطلبات واجبة التطبيق.

رابعًا: المنشأة الفلسطينية في الخارج

لأغراض هذا التعريف، يجوز اعتبار شركة أو منشأة منشأة خارج فلسطين «منشأة ذات ارتباط فلسطيني مؤهل» عندما تحقق المعايير التي تعتمدها بال لانسر لإثبات ارتباطها الاقتصادي أو القانوني الفلسطيني.

ويجب ألا يعتمد هذا الارتباط على مجرد وجود موظف أو مدير أو ممثل فلسطيني داخل شركة أجنبية.

ويجب أن تتناول المعايير المتخصصة، بحسب طبيعة الكيان، عناصر مثل:

  1. الملكية المباشرة أو غير المباشرة.
  2. السيطرة الفعلية أو الإدارية.
  3. هوية المستفيد الحقيقي.
  4. صفة المؤسسين أو المالكين الرئيسيين.
  5. صلاحيات الأشخاص الفلسطينيين المرتبطين بالمنشأة.
  6. أي عناصر أخرى لازمة لإثبات أن الارتباط الفلسطيني حقيقي وليس صوريًا.

ويُحدد الحد أو المعيار التفصيلي للملكية أو السيطرة أو الارتباط المقبول في معيار أهلية المنشآت الفلسطينية في الخارج، ولا يُفترض داخل هذا التعريف أن مجرد أي نسبة ملكية فلسطينية تكفي وحدها لاكتساب الصفة.

خامسًا: الشخص الطبيعي والشخص الاعتباري والجهة المؤسسية

يجب تحديد الطبيعة القانونية لمقدم الخدمة أو البائع قبل اكتساب الصفة، بما يميز بين:

شخص طبيعي ← شركة أو منشأة ← جمعية أو مؤسسة أهلية ← مؤسسة تعليمية ← جهة عامة أو حكومية أو شبه حكومية ← منشأة فلسطينية مؤهلة في الخارج.

وتختلف مستندات وصلاحيات ومتطلبات التحقق بحسب الفئة.

وعندما يكون مقدم الخدمة شخصًا اعتباريًا أو جهة مؤسسية، لا يكون الموظف أو المستخدم الذي يدير حسابها هو مقدم الخدمة شخصيًا لمجرد استخدامه الحساب؛ بل تظل الجهة المسجلة هي الطرف المتعاقد متى كان التصرف يتم باسمها ولحسابها ضمن صلاحيات صحيحة.

سادسًا: الممثلون والمفوضون عن الجهات

عندما يكون مقدم الخدمة أو البائع شخصًا اعتباريًا أو جهة مؤسسية، يجب تحديد الشخص أو الأشخاص المخولين بالتصرف نيابة عنه.

وقد تشمل الصلاحيات، بحسب الحاجة:

  1. إدارة الحساب.
  2. نشر أو إدارة الخدمات والمنتجات.
  3. تقديم أو اعتماد عروض الأسعار.
  4. مراجعة مسودات العقود.
  5. إصدار الموافقات التعاقدية.
  6. التوقيع أو القبول الإلكتروني.
  7. إدارة التنفيذ والتسليم.
  8. طلب أو اعتماد التعديلات.
  9. فتح النزاع أو الرد عليه.
  10. اتخاذ الإجراءات الأخرى التي تسمح بها صلاحياته المعتمدة.

ولا يجوز افتراض أن كل مستخدم تابع للجهة مخول بجميع هذه الإجراءات.

ويجب على النظام، بالقدر المناسب، التمييز بين الجهة صاحبة الصفة التعاقدية والحساب أو المستخدم المخول بالعمل نيابة عنها.

سابعًا: التحقق من الهوية والصفة والارتباط الفلسطيني

يخضع اكتساب صفة مقدم الخدمة أو البائع لإجراءات تحقق تتناسب مع طبيعة الفئة.

وقد يشمل التحقق، بحسب الحالة:

  1. هوية الشخص الطبيعي.
  2. إثبات الصفة الفلسطينية للشخص الطبيعي.
  3. وجود الشخص الاعتباري أو المؤسسة وتسجيلها القانوني.
  4. طبيعة الجهة واختصاصها.
  5. ملكية الكيان أو المستفيد الحقيقي منه عندما يكون ذلك لازمًا.
  6. معيار الارتباط الفلسطيني بالنسبة إلى المنشآت المنشأة خارج فلسطين.
  7. هوية وصلاحيات الممثلين والمفوضين.
  8. الأهلية القانونية.
  9. التراخيص أو الاعتمادات المهنية عند الحاجة.
  10. أي متطلبات امتثال إضافية واجبة التطبيق.

ويجب أن تكون وسائل الإثبات والمعايير المناسبة لكل فئة محددة في إجراءات التحقق والسياسات المتخصصة.

ثامنًا: الصفة الفلسطينية لا تعني مكان إقامة محددًا

لا يُشترط، بالنسبة إلى الشخص الطبيعي الفلسطيني، أن يكون مقيمًا داخل فلسطين لاكتساب صفة مقدم الخدمة أو البائع.

ولا يؤدي الإقامة أو العمل أو الدراسة أو وجود نشاط تجاري خارج فلسطين، بذاته، إلى استبعاد الفلسطيني من هذه الصفة.

ومع ذلك، يخضع مقدم الخدمة المقيم أو المنشأة القائمة خارج فلسطين، بالإضافة إلى قواعد بال لانسر، للمتطلبات القانونية والتنظيمية والضريبية والمهنية وغيرها من القواعد واجبة التطبيق عليه بحسب دولة الإقامة أو التأسيس وطبيعة النشاط.

ولا يعني قبول بال لانسر لمقدم خدمة مقيم خارج فلسطين أنها تقرر أو تضمن من تلقاء نفسها مشروعية نشاطه في كل ولاية قضائية.

تاسعًا: الأهلية القانونية والمهنية

يجب أن يتمتع مقدم الخدمة أو البائع بالأهلية والصلاحية اللازمة لممارسة النشاط الذي يعرضه وتنفيذ الالتزامات التي يقبلها.

وعندما تتطلب الخدمة أو النشاط ترخيصًا أو تصريحًا أو تسجيلًا أو اعتمادًا مهنيًا خاصًا، يجوز بل يجب عند الاقتضاء اشتراط إثبات استيفاء المتطلب قبل السماح بتقديم النشاط.

ولا يؤدي مجرد اكتساب صفة مقدم الخدمة على بال لانسر إلى منح ترخيص مهني أو قانوني لا يملكه المستخدم أصلًا.

عاشرًا: الفصل بين التحقق من الهوية والتحقق المهني

يجب التمييز بين:

التحقق من الهوية والصفة والأهلية وبين التحقق من المهارة والخبرة أو المؤهل أو الترخيص المهني.

ولا تعني علامة أو حالة «تم التحقق من الهوية» أن بال لانسر تضمن مستوى جودة مقدم الخدمة أو خبرته أو قدرته على تنفيذ كل مشروع.

ويجوز للمنظومة إنشاء مستويات أو علامات تحقق مستقلة للمؤهلات والمهارات والخبرات والتراخيص، ويجب أن توضح كل علامة نطاق ما تم التحقق منه لمنع التضليل.

الحادي عشر: حساب مقدم الخدمة أو البائع

حساب مقدم الخدمة أو البائع مرتبط بالشخص أو الجهة التي اكتسبت الصفة بعد التحقق، ولا يجوز بيعه أو تأجيره أو نقله أو إتاحته لشخص آخر بطريقة تؤدي إلى تجاوز قواعد الهوية أو الأهلية أو الصلاحيات.

ولا يجوز لشخص غير مؤهل اكتساب صفة مقدم الخدمة باستخدام حساب شخص أو جهة مؤهلة.

وعندما يتعلق الحساب بشخص اعتباري أو مؤسسة، يجوز تغيير المستخدمين والمفوضين المعتمدين وفق إجراءات الصلاحيات والتحقق، دون أن يؤدي ذلك بذاته إلى تغيير هوية الطرف التعاقدي.

الثاني عشر: مقدم الخدمة بوصفه طرفًا في المعاملة

عند دخول مقدم الخدمة أو البائع في معاملة، يجب أن تكون هويته أو هويّة الجهة التي يمثلها وصفته التعاقدية قابلة للتحديد والربط بسجل المعاملة.

ولا يؤدي بدء محادثة أو تفاوض أو طلب عرض سعر إلى إنشاء التزام نهائي بتنفيذ العمل.

وعندما يكون عرض السعر موجهًا لتكوين عقد، يجب أن يرتبط وفق القواعد المعتمدة بـ مسودة العقد والعناصر الجوهرية اللازمة ليطلع الطرفان على شروط الالتزام قبل الموافقة النهائية.

وتتحدد لحظة نشوء العقد وفق آلية التعاقد والموافقة الصريحة، لا بمجرد المحادثة أو تحليل الذكاء الاصطناعي.

الثالث عشر: مسؤولية مقدم الخدمة عن المعلومات

يلتزم مقدم الخدمة أو البائع بعدم تقديم بيانات جوهرية كاذبة أو مضللة بشأن هويته أو صفته أو منشأته أو ملكيتها أو صلاحياته أو مؤهلاته أو خبراته أو الخدمات التي يعرضها.

ولا يجوز، بصفة خاصة:

  1. انتحال هوية شخص أو جهة أخرى.
  2. تقديم شركة أو مؤسسة على أنها فلسطينية أو ذات ارتباط فلسطيني مؤهل على خلاف الحقيقة.
  3. إخفاء معلومات جوهرية عن الملكية أو المستفيد الحقيقي عندما تكون مطلوبة للتحقق.
  4. استخدام مؤهلات أو خبرات أو أعمال الغير على نحو مضلل.
  5. ادعاء وجود ترخيص أو اعتماد غير قائم.
  6. استخدام هياكل أو حسابات صورية للتحايل على شروط الأهلية.

الرابع عشر: عرض السعر ومسودة العقد

يتحمل مقدم الخدمة أو البائع، في حدود المعلومات والالتزامات التي يصدرها أو يعتمدها، مسؤولية مراجعة العناصر الجوهرية في عرض السعر ومسودة العقد قبل إصدار موافقته النهائية.

ويجب أن تكون، بحسب نوع المعاملة، عناصر مثل نطاق العمل والمخرجات والمراحل والمدة والسعر وشروط التسليم والقبول محددة بالقدر المناسب.

ولا يجوز اعتبار ما ينتجه الذكاء الاصطناعي موافقة من مقدم الخدمة أو التزامًا عليه قبل مراجعته واعتماده بالطريقة المقررة.

الخامس عشر: التزام مقدم الخدمة بالتنفيذ

بعد تكوين العقد، يلتزم مقدم الخدمة أو البائع بتنفيذ الالتزامات التي قبلها وفق نطاق العمل والمخرجات والمراحل والمواعيد ومعايير التسليم والقبول والشروط المتفق عليها.

ولا يمتد التزامه تلقائيًا إلى أعمال إضافية أو تغييرات لم تدخل في العقد أو تعديل تعاقدي صحيح.

وعند ظهور عائق جوهري يؤثر في التنفيذ، يجب التعامل معه وفق قواعد الإخطار والتعديل والإلغاء والانسحاب والإنهاء والنزاع، بحسب الحالة.

السادس عشر: الفريق والأشخاص المنفذون

يجوز لمقدم الخدمة، عندما تسمح طبيعة العقد بذلك، تنفيذ الالتزام بنفسه أو من خلال فريق أو أشخاص مساندين يخضعون لمسؤوليته التعاقدية بالقدر الذي يقرره العقد والقانون.

ولا يصبح أعضاء الفريق أطرافًا أصليين في العقد لمجرد مشاركتهم في التنفيذ.

وعندما تكون هوية شخص معين أو مؤهله أو خبرته عنصرًا جوهريًا في العقد، لا يجوز استبداله بطريقة تخالف العقد أو القانون أو المتطلبات المهنية.

أما إذا كان الطرف المتعاقد شركة أو جامعة أو جمعية أو جهة مؤسسية، فقد يكون التنفيذ بطبيعته من خلال موظفيها أو فرقها أو الأشخاص المخولين لديها، مع بقاء الجهة هي الطرف التعاقدي ما لم ينص العقد على غير ذلك.

السابع عشر: الوفاة والعجز والتعذر والإحلال

لا يؤدي تعذر مقدم الخدمة الطبيعي أو الشخص المنفذ الرئيس، بسبب الوفاة أو العجز أو الانسحاب أو فقدان الأهلية أو غير ذلك، إلى إحلال شخص آخر تلقائيًا محله في العقد.

وعند كون مقدم الخدمة شخصًا اعتباريًا أو مؤسسة، فإن وفاة أو خروج موظف أو عضو فريق لا تعني بذاتها انتهاء صفة الجهة التعاقدية متى كانت الجهة مستمرة قانونًا وقادرة على تنفيذ العقد وفق شروطه.

ويخضع أي إحلال للطرف التعاقدي نفسه أو نقل العقد أو الحقوق أو الالتزامات إلى شخص أو جهة أخرى للموافقات والإجراءات القانونية والتعاقدية اللازمة.

ويجب عند حدوث التعذر التمييز بين:

الأعمال المنجزة ← الاستحقاقات المرتبطة بها ← الأعمال المتبقية ← الملفات والمخرجات والحقوق القائمة ← الطرف التعاقدي ← إمكانية الاستمرار أو الإحلال.

وتنظم الآثار التفصيلية في العقود وقواعد الإنهاء والنزاعات والملكية الفكرية.

الثامن عشر: الملكية الفكرية

يجب على مقدم الخدمة أو البائع امتلاك الحقوق أو الصلاحيات اللازمة لاستخدام المواد والأعمال التي يدخلها في تنفيذ المعاملة.

ولا تنتقل ملكية الحقوق الفكرية أو تراخيصها لمجرد إنشاء المعاملة أو بدء التنفيذ.

ويحدد العقد توقيت ونطاق انتقال الحقوق أو منح التراخيص وما يتعلق بالأعمال السابقة والأدوات وحقوق الأطراف الثالثة.

التاسع عشر: مقدم الخدمة والإجراءات المالية

لا يؤدي وجود استحقاق تعاقدي لمقدم الخدمة داخل بال لانسر إلى اعتبار منظومة بال لانسر حافظة للأموال أو ملتزمة بدفعها من أموالها الخاصة، إلا إذا نشأ التزام قانوني أو تعاقدي مستقل وصريح بخلاف ذلك.

وتُنفذ الوظائف المالية الخاضعة للترخيص من خلال البنك أو مقدم خدمات الدفع أو الجهة المالية المرخصة المختصة.

ويجب الفصل بين: الاستحقاق التعاقدي أو المالي ← تسجيل الحالة التشغيلية داخل بال لانسر ← أهلية أو متطلب التنفيذ المالي ← الطلب التقني أو رسالة التكامل، عند الاقتضاء ← المعالجة والتنفيذ المالي المنظم بواسطة الجهة المالية المرخصة. ولا يُعد الطلب التقني أو رسالة التكامل، بذاته، تعليمات مالية منظمة أو تنفيذًا لعملية مالية.

العشرون: مقدم الخدمة والنزاعات

يحق لمقدم الخدمة أو البائع استخدام إجراءات الشكاوى ومركز النزاعات وفق القواعد المعتمدة، وتقديم العقود والمحادثات والمستندات والتسليمات والسجلات والأدلة المرتبطة بالمعاملة.

ولا يعني فتح النزاع تلقائيًا انتهاء العقد أو إلغاء جميع الالتزامات أو استحقاق أحد الأطراف للأموال.

ولا يُعد مركز النزاعات محكمة أو هيئة تحكيم لمجرد إدارته النزاع داخل المنظومة، وتظل طبيعة نتائجه وآثارها وفق العقود والسياسات والقانون واجب التطبيق.

الحادي والعشرون: تعليق أو فقد صفة مقدم الخدمة

يجوز، وفق القانون والشروط والسياسات والإجراءات المعتمدة، رفض منح صفة مقدم الخدمة أو تقييدها أو تعليقها أو إنهاؤها عند عدم استيفاء شروط اكتسابها أو استمرارها أو عند وجود سبب مشروع آخر.

ويجب التمييز بين حالة الحساب وصفة المستخدم داخل المنظومة وبين الحقوق والالتزامات الناشئة عن عقود قائمة.

ولا يؤدي تعليق الحساب أو فقد الصفة بذاته إلى محو عقد صحيح أو إلغاء الحقوق والالتزامات السابقة، وإنما تعالج آثار ذلك على المعاملات القائمة وفق القواعد المختصة.

الثاني والعشرون: مقدم الخدمة والذكاء الاصطناعي

لا يُعد الذكاء الاصطناعي مقدم خدمة أو بائعًا أو طرفًا تعاقديًا، ولا يحل بذاته محل الشخص أو الجهة المسؤولة عن تنفيذ الالتزام.

ويجوز لمقدم الخدمة استخدام أدوات الذكاء الاصطناعي عندما تسمح طبيعة الخدمة والعقد والسياسات بذلك.

ولا يؤدي استخدام هذه الأدوات إلى نقل مسؤوليته التعاقدية إليها أو إلى بال لانسر.

ويجب مراعاة متطلبات السرية والبيانات والملكية الفكرية وأي قيود تعاقدية أو مهنية على استخدام الذكاء الاصطناعي.

الثالث والعشرون: العلاقة مع التعاريف الأخرى

يُقرأ تعريف «مقدم الخدمة أو البائع» بالاقتران مع تعريف المعاملة وتعريف أطراف المعاملة والتعاريف المتخصصة الأخرى، وبصفة خاصة:

المشتري أو طالب الخدمة، الخدمة، المشروع، المنتج الرقمي، عرض السعر، مسودة العقد، العقد، الموافقة الصريحة، التوقيع الإلكتروني، المرحلة، التسليم، القبول والرفض، التعديل، الإلغاء، الانسحاب، الإنهاء، النزاع، التسوية، التحقق من الهوية والأهلية، الاستحقاق المالي، الجهة المالية المرخصة، ومقدم خدمات الدفع.

وعند وجود سياسة أو قاعدة أو اتفاقية متخصصة تنظم مسألة معينة، تكون الوثيقة المتخصصة المرجع التفصيلي لتلك المسألة، وتُفسر بالاقتران مع هذا التعريف والمبادئ الحاكمة لمنظومة بال لانسر

First: Definition

For the purposes of the PalLancer ecosystem, “Service Provider or Seller” means a Palestinian natural person, or a legal person, institution, or entity eligible under the standards adopted by the ecosystem, that validly acquires Service Provider or Seller status and offers, provides, or undertakes to provide a service, perform a project, or supply a digital product in accordance with the nature of the transaction, the contract, and the applicable rules, policies, and requirements.

Upon entering into a contract with a Service Requester or Buyer, the Service Provider or Seller shall be the party responsible for the obligations it has accepted under that contract, within the limits of its status, authority, and the nature of the relevant obligation.

The use of the PalLancer ecosystem shall not cause PalLancer to be regarded as the Service Provider or Seller on behalf of that party.

Service Provider or Seller status shall not be acquired merely by creating a user account. Such status shall be acquired only after satisfying the requirements applicable to the relevant category of Service Provider and after activation of such status in accordance with the approved verification and eligibility procedures.

Second: Palestinian Character of the Supply Side of PalLancer

The PalLancer model is based on the principle that the supply side for services, projects, and digital products has a qualified Palestinian identity or connection, in accordance with the standards adopted by the ecosystem.

This does not mean that Service Provider status is limited to natural persons who are geographically resident within Palestine. Service Provider status may extend to Palestinians residing inside or outside Palestine, as well as to Palestinian legal persons, institutions, entities, or entities possessing a qualifying Palestinian connection in accordance with this Definition and the applicable specialized standards.

This focus constitutes an integral part of PalLancer's operating model and economic value proposition, which is designed to enable qualified Palestinian services, expertise, institutions, and enterprises to access Service Buyers and Service Requesters in local and international markets.

Such status may not be acquired or circumvented through the use of another person's account, false information, sham structures, or inaccurate representations concerning ownership, management, or Palestinian status or connection.

Third: Categories Eligible to Acquire Service Provider or Seller Status

Subject to PalLancer requirements, applicable law, and approved policies, Service Provider or Seller status may be acquired by the following categories:

  1. A Palestinian natural person residing in Palestine, provided that the applicable identity, legal capacity, eligibility, and verification requirements are satisfied.
  2. A Palestinian natural person residing outside Palestine, including a Palestinian member of the diaspora or a Palestinian permanently or temporarily residing in another country, provided that Palestinian status can be established under the approved verification standards and that the legal and regulatory requirements applicable in the country of residence and to the relevant activity are satisfied.
  3. Palestinian companies, enterprises, and other legal persons lawfully incorporated, established, or registered and possessing the legal capacity and authority to conduct the activity that is the subject of the transaction.
  4. Palestinian associations, charitable organizations, and civil society institutions, where the relevant service, activity, or product is lawful and consistent with their objectives, governing documents, legal powers, and applicable law.
  5. Palestinian universities, colleges, and educational or academic institutions, whether public or private, where the provision of the relevant service, project, or product falls within their powers and functions and complies with applicable legal and regulatory requirements.
  6. Palestinian public, governmental, or quasi-governmental entities and institutions, where applicable law and the entity's mandate and authority permit it to use the ecosystem and provide the activity that is the subject of the transaction, and after satisfying any required approvals, procedures, or special requirements.
  7. Companies or enterprises established outside Palestine that have a qualifying Palestinian connection, provided that they satisfy the standard adopted by PalLancer for establishing such connection, are lawfully established in their jurisdiction of incorporation, and are legally permitted to conduct the activity that is the subject of the transaction.
  8. Any other Palestinian institutional category that may be approved by the ecosystem in the future, provided that the basis of its eligibility, the standard governing its Palestinian connection, and the applicable verification requirements are determined before it is permitted to acquire Service Provider or Seller status.

Inclusion within one of the categories listed above shall not automatically entitle every person or entity within that category to acquire Service Provider status. Acquisition and continuation of such status shall remain subject to verification, eligibility, compliance, the nature of the activity, and all applicable requirements.

Fourth: Palestinian-Connected Enterprise Established Outside Palestine

For the purposes of this Definition, a company or enterprise established outside Palestine may be regarded as an “Entity with a Qualifying Palestinian Connection” where it satisfies the standards adopted by PalLancer for establishing a genuine Palestinian economic or legal connection.

Such connection shall not be established merely because a foreign company employs, appoints, or is represented by a Palestinian employee, manager, or representative.

The applicable specialized standards should, depending on the nature of the entity, address matters including:

  1. Direct or indirect ownership.
  2. Effective ownership or managerial control.
  3. The identity of the ultimate beneficial owner.
  4. The status of founders or principal owners.
  5. The authority of Palestinian persons associated with the enterprise.
  6. Any other elements necessary to establish that the Palestinian connection is genuine and not artificial or merely nominal.

The detailed threshold or standard relating to ownership, control, or other qualifying connection shall be established in the Eligibility Standard for Palestinian-Connected Enterprises Established Abroad, and no particular level of Palestinian ownership shall, by this Definition alone, be presumed sufficient to qualify.

Fifth: Natural Persons, Legal Persons, and Institutional Entities

The legal nature of the Service Provider or Seller shall be identified before such status is granted, distinguishing, as applicable, between:

Natural Person ← Company or Enterprise ← Association or Civil Society Institution ← Educational Institution ← Public, Governmental, or Quasi-Governmental Entity ← Qualifying Palestinian-Connected Enterprise Established Abroad.

The documents, authorities, and verification requirements applicable to each category may differ according to its legal nature.

Where the Service Provider is a legal person or institutional entity, an employee or user managing its account shall not personally become the Service Provider merely by operating the account. The registered entity shall remain the contractual party where the relevant actions are performed in its name, for its account, and within valid authority.

Sixth: Representatives and Authorized Persons of Entities

Where the Service Provider or Seller is a legal person or institutional entity, the person or persons authorized to act on its behalf shall be identified.

Depending on the relevant requirements, such authorities may include authority to:

  1. Manage the account.
  2. Publish or manage services and products.
  3. Submit or approve quotations.
  4. Review draft contracts.
  5. Provide contractual approvals and consents.
  6. Sign or provide electronic acceptance.
  7. Manage performance and delivery.
  8. Request or approve amendments.
  9. Initiate or respond to a dispute.
  10. Take any other action falling within the scope of the person's approved authority.

It shall not be presumed that every user associated with the entity has authority to perform all such actions.

To the appropriate extent, the system shall distinguish between the entity holding the contractual status and the account or user authorized to act on its behalf.

Seventh: Verification of Identity, Status, and Palestinian Connection

Acquisition of Service Provider or Seller status shall be subject to verification procedures proportionate to the nature of the relevant category.

Depending on the circumstances, verification may include:

  1. The identity of a natural person.
  2. Evidence of Palestinian status for a natural person.
  3. The legal existence and registration of a legal person or institution.
  4. The legal nature, mandate, and authority of the relevant entity.
  5. Ownership or ultimate beneficial ownership where required.
  6. The standard of Palestinian connection for enterprises established outside Palestine.
  7. The identity and authority of representatives and authorized persons.
  8. Legal capacity and eligibility.
  9. Professional licences or accreditations where necessary.
  10. Any additional applicable compliance requirements.

The evidence and verification standards appropriate to each category shall be specified in the relevant verification procedures and specialized policies.

Eighth: Palestinian Status Does Not Require Residence in a Particular Location

A Palestinian natural person shall not be required to reside within Palestine in order to acquire Service Provider or Seller status.

Residence, employment, study, or the operation of a business outside Palestine shall not, by itself, disqualify a Palestinian person from acquiring such status.

However, a Service Provider residing outside Palestine, or an enterprise established outside Palestine, shall also be subject to the legal, regulatory, tax, professional, and other requirements applicable to it according to the jurisdiction of residence or establishment and the nature of the relevant activity.

PalLancer's acceptance of a Service Provider residing outside Palestine shall not, by itself, constitute a determination or guarantee by PalLancer that the Service Provider's activities are lawful in every jurisdiction.

Ninth: Legal and Professional Eligibility

A Service Provider or Seller must possess the legal capacity and authority required to conduct the activity offered and to perform the obligations undertaken.

Where a service or activity requires a particular licence, permit, registration, accreditation, or professional authorization, evidence that the applicable requirement has been satisfied may, and where appropriate shall, be required before the activity may be offered.

The acquisition of Service Provider status within PalLancer does not confer upon a user any professional or legal licence that the user does not otherwise possess.

Tenth: Separation Between Identity Verification and Professional Verification

A distinction shall be maintained between:

verification of identity, status, and eligibility and verification of skill, experience, qualifications, or professional licensing.

An indication or status such as “Identity Verified” shall not mean that PalLancer guarantees the quality, experience, or ability of the Service Provider to perform every project.

PalLancer may establish separate verification levels, badges, or indicators for qualifications, skills, experience, and professional licences. Each such indication should clearly identify the scope of what has actually been verified so as to avoid misleading users.

Eleventh: Service Provider or Seller Account

A Service Provider or Seller account shall be associated with the person or entity that acquired such status following verification and may not be sold, leased, transferred, or made available to another person in a manner that circumvents applicable identity, eligibility, or authorization requirements.

A person who is not eligible may not acquire Service Provider status by using the account of an eligible person or entity.

Where an account belongs to a legal person or institution, approved users and authorized representatives may be changed in accordance with the relevant authorization and verification procedures without thereby changing the identity of the contractual party.


Twelfth: Service Provider as a Transaction Party

When a Service Provider or Seller enters into a transaction, the identity of that person or entity, or the identity of the entity represented, and the relevant contractual capacity shall be identifiable and capable of being linked to the Transaction record.

The commencement of communications, negotiations, or a request for quotation shall not create a final obligation to perform the work.

Where a Quotation is intended to result in contract formation, it shall, in accordance with the approved rules, be associated with a Draft Contract and the material elements necessary to enable both parties to review the proposed terms of the obligation before final consent.

The point at which a Contract is formed shall be determined according to the approved contract-formation mechanism and the Principle of Explicit Consent, and not merely through communications or artificial intelligence analysis.

Thirteenth: Responsibility of the Service Provider for Information

The Service Provider or Seller shall not provide materially false or misleading information regarding its identity, status, enterprise, ownership, authority, qualifications, experience, or services offered.

In particular, a Service Provider shall not:

  1. Impersonate another person or entity.
  2. Misrepresent a company or institution as Palestinian or as possessing a qualifying Palestinian connection.
  3. Conceal material information concerning ownership or ultimate beneficial ownership where such information is required for verification.
  4. Misleadingly use qualifications, experience, or works belonging to another person.
  5. Claim to hold a licence or accreditation that does not exist or is not valid.
  6. Use sham structures or accounts to circumvent eligibility requirements.

Fourteenth: Quotation and Draft Contract

To the extent relating to information and obligations issued or approved by it, the Service Provider or Seller shall be responsible for reviewing the material elements of the Quotation and Draft Contract before providing final consent.

Depending on the nature of the transaction, matters such as the scope of work, deliverables, milestones, duration, price, and delivery and acceptance conditions shall be defined with an appropriate degree of clarity.

Content generated by artificial intelligence shall not constitute consent by the Service Provider or create a binding obligation upon it unless reviewed and approved through the applicable mechanism.

Fifteenth: Service Provider's Performance Obligations

Following formation of the Contract, the Service Provider or Seller shall perform the obligations it has accepted in accordance with the agreed scope of work, deliverables, milestones, timelines, delivery and acceptance criteria, and other contractual terms.

Its obligations shall not automatically extend to additional work or changes that have not been incorporated into the Contract or a valid contractual amendment.

Where a material obstacle affecting performance arises, it shall be addressed in accordance with the applicable rules governing notification, amendment, cancellation, withdrawal, termination, and disputes, as appropriate.

Sixteenth: Teams and Persons Performing the Work

Where permitted by the nature of the Contract, a Service Provider may perform its obligations personally or through a team or supporting persons who remain subject to the Service Provider's contractual responsibility to the extent provided by the Contract and applicable law.

Team members do not become principal parties to the Contract merely by participating in performance.

Where the identity, qualifications, or experience of a particular individual constitute a material element of the Contract, that individual may not be replaced in a manner inconsistent with the Contract, applicable law, or professional requirements.

Where the contractual party is a company, university, association, or other institutional entity, performance may by its nature be undertaken through its employees, teams, or authorized persons, while the entity remains the contractual party unless otherwise provided in the Contract.

Seventeenth: Death, Incapacity, Inability to Perform, and Substitution

The inability of a natural-person Service Provider or principal performer to continue performance due to death, incapacity, withdrawal, loss of legal capacity, or another reason shall not automatically substitute another person into the Contract.

Where the Service Provider is a legal person or institution, the death or departure of an employee or team member shall not, by itself, terminate the contractual status of the entity, provided that the entity continues to exist legally and remains capable of performing the Contract in accordance with its terms.

Any substitution of the contractual party itself, or transfer of the Contract or its rights or obligations to another person or entity, shall be subject to the necessary contractual and legal approvals and procedures.

Where such inability arises, a distinction shall be maintained between:

Work Already Performed ← Related Entitlements ← Remaining Work ← Existing Files, Deliverables, and Rights ← Contractual Party ← Possibility of Continuation or Substitution.

The detailed consequences shall be governed by the relevant contracts and rules concerning termination, disputes, and intellectual property.

Eighteenth: Intellectual Property

The Service Provider or Seller must own or possess the necessary rights and permissions to use the materials and works incorporated into performance of the transaction.

Ownership of intellectual property rights or licences to use such rights shall not transfer merely upon creation of the Transaction or commencement of performance.

The Contract shall determine the timing and scope of any transfer of rights or grant of licences, including matters relating to pre-existing works, tools, and third-party rights.

Nineteenth: Service Provider and Financial Procedures

The existence of a contractual financial entitlement in favor of a Service Provider within PalLancer shall not cause PalLancer to be regarded as holding or safeguarding the relevant funds or as being required to pay such funds from its own assets, unless an independent and express legal or contractual obligation provides otherwise.

Financial functions subject to licensing requirements shall be performed through the bank, Payment Service Provider, or other competent Licensed Financial Entity.

A distinction shall be maintained between: Contractual or Financial Entitlement → Recording of Operational Status within PalLancer → Financial Execution Eligibility or Requirement → Technical Request or Integration Message, where applicable → Regulated Financial Processing and Execution by the Licensed Financial Entity. A Technical Request or Integration Message shall not, by itself, constitute a Regulated Financial Instruction or the execution of a Financial Transaction.



Twentieth: Service Provider and Disputes

The Service Provider or Seller may use the complaint procedures and the PalLancer Dispute Center in accordance with the approved rules and may submit contracts, communications, documents, deliveries, records, and evidence associated with the relevant Transaction.

The initiation of a dispute shall not automatically terminate the Contract, cancel all obligations, or establish an entitlement to funds in favor of either party.

The Dispute Center shall not be considered a court or arbitral tribunal merely because it administers disputes within the ecosystem, and the nature and effect of its outcomes shall remain governed by the applicable contracts, policies, and law.

Twenty-First: Suspension or Loss of Service Provider Status

Subject to applicable law, terms, policies, and approved procedures, PalLancer may refuse to grant, restrict, suspend, or terminate Service Provider status where the conditions for acquiring or maintaining such status are not satisfied or where another legitimate basis exists.

A distinction shall be maintained between the status of the account and the user's status within the ecosystem and the rights and obligations arising from existing Contracts.

Suspension of an account or loss of Service Provider status shall not, by itself, extinguish a valid Contract or cancel previously arising rights or obligations. The effect on existing Transactions shall be addressed under the applicable specialized rules.

Twenty-Second: Service Provider and Artificial Intelligence

Artificial intelligence shall not be regarded as a Service Provider, Seller, or contractual party and shall not, by itself, replace the person or entity responsible for performance of the relevant obligation.

A Service Provider may use artificial intelligence tools where permitted by the nature of the service, the Contract, and applicable policies.

Use of such tools shall not transfer the Service Provider's contractual responsibility to the artificial intelligence tool or to PalLancer.

Requirements relating to confidentiality, data protection, intellectual property, and any contractual or professional restrictions applicable to the use of artificial intelligence shall be observed.

Twenty-Third: Relationship with Other Definitions

The definition of “Service Provider or Seller” shall be read together with the Transaction Definition, the Transaction Parties Definition, and the other specialized definitions, particularly:

Buyer or Service Requester, Service, Project, Digital Product, Quotation, Draft Contract, Contract, Explicit Consent, Electronic Signature, Milestone, Delivery, Acceptance and Rejection, Amendment, Cancellation, Withdrawal, Termination, Dispute, Settlement, Identity and Eligibility Verification, Financial Entitlement, Licensed Financial Entity, and Payment Service Provider.

Where a specialized policy, rule, or agreement governs a particular matter, that specialized document shall serve as the detailed reference for such matter and shall be interpreted in conjunction with this Definition and the Governing Principles of the PalLancer ecosystem.
